Texas Instruments Avigo API Use License Agreement

Whereas Texas Instruments Incorporated, acting through its Education and Productivity
Solutions business, with a principal place of business at 7800 Banner Drive, Dallas,
TX 75251 (hereinafter "TI"), desires to facilitate timely development of certain
software which will support selected TI products, and, whereas, you, the party who
downloads these software programs, desire to develop software which will support
selected TI products:

Now therefore the parties agree as follows 

1. License: TI grants you a license to use and copy the software program(s) and
documentation supplied hereunder and further described as: Avigo SW API and Avigo
SW API Documents ("Licensed Materials"), for the sole purpose of developing and
distributing an end-user product. You are further licensed to make as many copies
as needed in support of the development activity. 

2. Restrictions: You agree that you will not reverse-assemble or reverse-compile
the software program portion of the Licensed Materials that are provided in object
code format. You may not sell, rent or lease the Licensed Material or any copies
except as a part of your application. 

3. Support: The Licensed Materials are provided by TI with the understanding that
support will be limited, and restricted to e-mail support only, directed through
a single contact person at your business. Support questions should be directed
to: avigodevelopers@ti.com. TI may drop support for the Licensed Materials at
any time without notice.

4. Copyright: The Licensed Materials are copyrighted by TI. You agree that you
will not delete the copyright notice, trademarks or protective notices from any
copy made by you. 

5. Warranty: TI does not warrant that the Licensed Materials will be free from
errors or will meet your specific requirements. The Licensed Materials are made
available "AS IS" to you. 

6. Limitations: TI makes no warranty or condition, either express or implied,
including but not limited to any implied warranties of merchantability and fitness
for a particular purpose, regarding the Licensed Materials. 

In no event shall TI or its suppliers be liable for any indirect, incidental or
consequential damages, lost of profits, loss of use or data, or interruption of
business, whether the alleged damages are labeled in tort, contract or indemnity.
